These Pump Promotions Terms and Conditions ("Promo Terms") apply to all promotions that Pump conducts from time to time, including referral incentives, gift and gift card giveaways, discounts, and other offers tied to specified activities such as onboarding or event participation (each a "Promotion," collectively "Promotions"). These Promo Terms may be supplemented or modified by terms communicated in connection with a specific Promotion. In the event of any conflict, the terms communicated with a specific Promotion shall govern to the extent of the conflict.

By participating in any Promotion, you agree to these Promo Terms, the Pump Terms of Service available at pump.co/legal, and the Pump Privacy Policy available at pump.co/privacy.

If you are participating on behalf of an entity: (i) "you" refers to that entity, (ii) you are accepting these Promo Terms on its behalf, and (iii) you represent that you have the authority to bind that entity to these Promo Terms.

Pump may modify these Promo Terms at any time without notice. Continued participation in any Promotion following such modifications constitutes acceptance of those changes.

1. Eligibility

To participate in any Promotion, you must meet all of the following baseline criteria unless a specific Promotion states otherwise:

• Maintain a minimum of $5,000 USD in monthly cloud spend on Amazon Web Services (AWS), Google Cloud Platform (GCP), or Microsoft Azure.

• Maintain good billing standing with your cloud provider(s), meaning no overdue or delinquent payments at the time of participation.

• Be of legal age of majority in your jurisdiction of residence (18 years or older in most jurisdictions).

• Be directly responsible for evaluating or making decisions regarding your organization's cloud infrastructure or cloud cost management.

Participation in any Promotion is subject to qualification review by Pump. Pump may verify eligibility, including cloud spend and billing status, in its sole discretion.

2. General Rules

• Each Promotion is a limited-time offer and may be subject to availability.

• Unless otherwise stated, Promotions are limited to one (1) per eligible individual or entity.

• Promotions are not valid for cash or cash equivalents.

• Promotions cannot be applied to previous purchases or subscriptions and may not be combined with other offers unless expressly stated.

• Promotions are non-transferable and may not be resold, auctioned, bartered, or exchanged.

• If you qualify for an offer, Pump will contact you via the email address provided.

• Violation of these Promo Terms or any terms communicated with a specific Promotion will render the Promotion invalid.

• Promotions are void where prohibited by applicable law.

• You are responsible for any taxes, duties, or fees associated with receiving or using any item or service in connection with a Promotion.

3. Modification and Cancellation

Pump reserves the right to modify or cancel any Promotion, or any terms applicable to a Promotion, in its sole discretion, at any time and without notice, for any reason, including technical issues, unforeseen circumstances, or if Pump suspects or determines that your participation involves fraud, abuse, or bad faith.

Pump shall not be liable for any financial loss arising from the refusal, cancellation, or withdrawal of any Promotion, or any failure or inability on your part to take advantage of a Promotion for any reason.

4. Rewards and Fulfillment

• Unless otherwise stated, rewards are fulfilled after the qualifying action (e.g., full onboarding) is completed.

• Qualifying persons will receive instructions on how to claim their reward via the email address provided.

• Actual rewards may differ from promotional descriptions. Pump reserves the right to substitute any reward with another item of equal or greater value.

• Rewards that require a response to claim must be claimed within the timeframe specified in the reward notification. Unclaimed rewards are forfeited.

5. Content Submissions

By submitting any content as part of a Promotion, you grant Pump a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, and display your submission in any media format, including paid and owned channels, for lawful purposes including promotion and advertising.

6. Limitations and Exclusions

• Employees, contractors, and agents of Pump and its affiliates, as well as their immediate family members, are not eligible to participate in any Promotion.

• Employees of government entities, government-controlled entities, or government-owned entities are not eligible to participate in any Promotion.

• Unless specified otherwise, Promotions are limited to one (1) per eligible individual or entity per three hundred sixty-five (365) day period.

• Pump is not responsible for any technical issues or other errors, technical or human, that may affect the operation or outcome of any Promotion.

7. Governing Law

These Promo Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions.

8. Severability

If any provision of these Promo Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
